Terms of Service

These Terms of Service ("Terms") govern your access to and use of Aura Concierge, a product of Binary Ideas ("Company," "we," "us," or "our"), including our website at auraconcierge.com and our AI receptionist platform (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into binding contracts on behalf of your clinic or organization to use the Service. By using Aura Concierge, you represent that you meet these requirements.

2. Description of Service

Aura Concierge provides an AI-powered voice receptionist service designed for medspas and similar healthcare practices. The Service includes:

• 24/7 AI call answering and handling
• Appointment scheduling support
• New client lead capture
• After-hours call coverage
• Access to a web-based management dashboard

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration and Security

To access the full Service, you may be required to create an account. You agree to:

• Provide accurate and complete registration information
• Keep your login credentials confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

4. Fees and Payment

Aura Concierge is offered on the following pricing terms:

• One-time setup fee: $499 for onboarding and clinic customization
• Monthly subscription: $199/month for ongoing AI receptionist access and support

All fees are in USD. Subscriptions renew automatically each billing cycle unless cancelled. You authorize us to charge the payment method on file. Failure to pay may result in suspension or termination of your account.

Prices are subject to change with 30 days' notice to active subscribers.

5. Cancellation and Refunds

You may cancel your monthly subscription at any time by contacting us at hello@auraconcierge.com. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.

The one-time setup fee is non-refundable once onboarding has begun.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, deceptive, or fraudulent content
• Interfere with or disrupt the Service or its infrastructure
• Attempt to reverse engineer, copy, or resell any part of the Service
• Use the Service for any purpose other than legitimate clinic operations

We reserve the right to suspend or terminate accounts that violate these terms.

7. Healthcare Compliance

Aura Concierge processes calls on your behalf. You acknowledge and agree that:

• You are responsible for ensuring your use of the Service complies with all applicable healthcare laws and regulations, including HIPAA where applicable
• You will obtain any necessary client consents for call recording or AI-assisted handling
• Aura Concierge is a technology service provider and does not provide medical, legal, or compliance advice

If you require a Business Associate Agreement (BAA) under HIPAA, please contact us at hello@auraconcierge.com before using the Service for protected health information.

8. Intellectual Property

All content, software, trademarks, and materials on Aura Concierge are owned by Binary Ideas or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for your clinic's internal operations. You may not reproduce, distribute, or create derivative works without our prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINARY IDEAS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Binary Ideas and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration or in courts of competent jurisdiction, as agreed by both parties.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
